# PE Due Diligence in a UK Auction: Ownership Checks

[By \- James Sharpe,](https://www.probedigital.co.uk/blog/author/james-sharpe) Oct 22, 2026

![Due Diligence in Ownership](https://www.probedigital.co.uk/hubfs/Team_Of_Engineers_Analyzing_AI_Models_original_2656445.jpg)

***In a UK sale process, ownership and control checks should run in stages alongside the bid timetable, so that each round's bid rests on a verified picture of who owns the target, what it owns and who runs it.***

A competitive sale process compresses private equity due diligence into fixed windows. The information memorandum describes the business the seller wants you to see; the public record shows how it is actually owned, controlled and financed. The two rarely disagree in a big way, but when they do, you want to find out before your second-round bid, not in the week before signing.

This guide sets out ten ownership checks for bidders in a UK auction, grouped by stage of the process, with the red flags that justify going deeper. It is written for deal teams at private equity and venture capital firms, and for the advisers who support them.

## Why ownership checks get squeezed in an auction

UK deal activity has stayed busy through the autumn. Herbert Smith Freehills Kramer counted six firm offers for UK listed companies in September 2026, including private equity offers for Bodycote and Gamma Communications ([HSF Kramer, 6 October 2026](https://www.hsfkramer.com/insights/2026-10/uk-public-ma-monthly-activity-update-september-2026)). Private sale processes run on similar pressure, with first-round deadlines that often leave days, not weeks, for desktop work.

Under that pressure, three things tend to happen:

- **The IM becomes the source of truth.** The group chart in the memorandum is taken at face value until the data room opens.
- **Structure questions arrive late.** Gaps in the PSC chain, a property held outside the group or a director's other interests surface in legal due diligence, when the price is already anchored.
- **Checks are done once.** A register search at first round is not refreshed before signing, even though filings, charges and appointments can change in the meantime.

The fix is not more work. It is the same work, staged so that each bid decision has the evidence it needs.

## The ten-point ownership checklist, stage by stage

### Before the first-round bid

1. **Rebuild the group chart from the register.** Start from the target and trace every subsidiary and parent through Companies House filings. Compare the result with the IM chart and list every entity that appears in one but not the other. Our guide to [mapping a UK company group structure before a deal](https://www.probedigital.co.uk/blog/how-to-map-a-uk-company-group-structure-before-a-deal) covers the method step by step.
2. **Trace the PSC chain to individuals.** A person with significant control usually holds more than 25% of the shares or voting rights, can appoint or remove a majority of the board, or otherwise has significant influence or control ([GOV.UK PSC guidance](https://www.gov.uk/guidance/people-with-significant-control-pscs)). Follow corporate PSCs upwards until each branch ends with a named person, and note any branch that ends offshore or with a statement that no PSC has been identified.
3. **Screen the sellers and management.** List every current and resigned appointment of each director and significant shareholder. Look for dissolved or liquidated companies, insolvencies, and businesses that trade in the same sector as the target.

### Before the second-round bid

1. **Locate the property.** Establish which entity holds each freehold and leasehold the business relies on. Property sitting in a sister company or with the founders is common, and it changes what you are buying. If any land is held by an overseas entity, check that the entity is on the Register of Overseas Entities: unregistered entities face restrictions on selling, leasing and charging UK land ([GOV.UK](https://www.gov.uk/guidance/register-an-overseas-entity)). ProbeDigital's [UK & Foreign Ownership](https://www.probedigital.co.uk/uk-companies-owned-by-uk-and-foreign-entities) search covers property held by UK and overseas companies.
2. **Review charges across the group.** Pull the charges register for every group company, not just the top company. Outstanding charges in subsidiaries, and charges held by individuals or connected companies rather than banks, need an explanation before you price the debt-free, cash-free bid.
3. **Check CCJs and judgments.** County court judgments against group companies, or against companies run by the same management, can point to disputes and cash-flow strain that the IM does not mention.

### Before exclusivity and signing

1. **Map connected parties.** Identify companies that share directors, PSCs or registered addresses with the target. These are your candidate related parties: suppliers, customers, landlords and service companies whose terms may not be at arm's length. [Corporate Links](https://www.probedigital.co.uk/corporate-link) shows these connections in one view.
2. **Confirm identity verification status.** Identity verification has been a legal requirement since 18 November 2025. Existing directors provide their personal code with the company's next confirmation statement, and PSCs who are not directors verify within the first 14 days of their birth month ([GOV.UK](https://www.gov.uk/guidance/when-you-need-to-verify-your-identity-for-companies-house)). The first convictions for identity verification offences were secured on 16 September 2026 ([Insolvency Service](https://www.gov.uk/government/news/directors-warned-to-verify-identities-with-companies-house-following-first-insolvency-service-prosecutions)). An unverified director or PSC in the target group is a tidy-up item for completion, not a reason to walk away, but it belongs on the list.
3. **Reconcile the register with the disclosure.** Compare the register with the share capital, PSC and officer information in the data room and the draft SPA. If you or your advisers are obliged entities under the Money Laundering Regulations, material discrepancies linked to money laundering or concealment of a PSC must be reported to Companies House ([GOV.UK](https://www.gov.uk/guidance/report-a-discrepancy-about-a-beneficial-owner-on-the-psc-register-by-an-obliged-entity)).

### Between signing and completion

1. **Refresh everything before completion.** Re-run the register checks on every group company in the final days before completion: new charges, officer changes, PSC changes, late filings and judgments. Keep a dated record of each search for your deal file.

If the target is an add-on rather than a platform, the [private equity due diligence checklist for UK add-ons](https://www.probedigital.co.uk/blog/private-equity-due-diligence-checklist-for-uk-add-ons) adapts the same checks for a buy-and-build programme.

## Red flags that justify a closer look

- **A PSC chain that stops at a corporate entity overseas** or at a statement that no PSC has been identified.
- **Recent changes just before the process launched:** new holding companies, share transfers, director resignations or a change of registered office.
- **Group companies that are behind on filings** or have had strike-off action started and later suspended.
- **Charges in favour of individuals or connected companies,** especially if created shortly before the sale.
- **Directors with a pattern of failed companies** in the same sector, or appointments that overlap with the target's key suppliers or customers.
- **Operating property held outside the group** with no lease, or a lease to a connected party on unclear terms.

None of these is proof of a problem. Each is a question to put to the seller's advisers, and the earlier you ask it, the more leverage you keep.

## Frequently asked questions

### When should a bidder start public-register checks in a UK auction?

Before the first-round bid. Rebuilding the group chart and tracing the PSC chain takes little time and tells you whether the IM's structure holds up, so your indicative price rests on the right perimeter.

### Is the PSC register enough to identify the ultimate owner?

It is a starting point, not an answer. The register relies on what companies file, and chains that run through overseas entities, trusts or nominee arrangements need further work. Treat gaps and "no PSC identified" statements as prompts for questions to the seller.

### What happens if a director of the target has not verified their identity?

Identity verification has been mandatory since 18 November 2025, and the Insolvency Service secured its first convictions in September 2026. In a deal, an unverified director or PSC is usually handled as a pre-completion action, but it should be identified early so that it does not delay filings after completion.

### How often should ownership checks be refreshed during a deal?

At each decision point: first round, second round, exclusivity and completion. Charges, appointments and PSC details can change at any time, and a dated search trail also supports your own records.
